1. Acceptance of Terms

By accessing or using RPhNote ("the Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you may not access or use the Platform. Access is granted solely by the Platform administrator on a per-user basis.

2. Nature of the Platform

RPhNote is a clinical documentation tool designed to assist licensed pharmacists in generating SOAP notes, care plans, minor ailment assessments, and other clinical documentation. The Platform is a productivity aid and does not replace professional clinical judgment. All clinical decisions remain the sole responsibility of the licensed pharmacist.

3. Eligibility & Account Access

The Platform is intended for use exclusively by licensed pharmacists and authorized pharmacy staff in Canada. By requesting access, you represent that you hold a valid pharmacy license or are authorized by a licensed pharmacist to use the Platform. You must provide your valid license number during registration.

Accounts are created solely by the Platform administrator. You are responsible for maintaining the confidentiality of your login credentials.

4. Prohibited Conduct

You agree NOT to:

  • Copy, reproduce, redistribute, or republish any content, documentation templates, clinical protocols, or output generated by the Platform, in whole or in part, without prior written consent.
  • Take screenshots, screen recordings, or any form of digital capture of Platform content, templates, or generated documentation for the purpose of redistribution, resale, or sharing with unauthorized parties.
  • Reverse-engineer, decompile, or attempt to extract the source code, algorithms, clinical logic, or proprietary data of the Platform.
  • Use automated tools (bots, scrapers, crawlers) to extract content or data from the Platform.
  • Share your account credentials with any unauthorized person or allow anyone to access your account.
  • Use the Platform for any unlawful purpose or in violation of any applicable professional regulations.
  • Attempt to circumvent security measures, access controls, or usage limitations.
  • Reproduce or recreate the Platform's clinical workflows, templates, or documentation structures in any competing product or service.

5. Intellectual Property

All content, templates, clinical protocols, software code, design elements, user interface, and documentation structures within RPhNote are the exclusive intellectual property of RPhNote and its creator(s). No license, right, or interest in any intellectual property is granted except the limited right to use the Platform as authorized.

Clinical output generated through the Platform (e.g., SOAP notes, care plans) is for the professional use of the authorized user only. The underlying templates, structure, logic, and formatting remain the property of RPhNote.

6. Content Regeneration & Redistribution

You may NOT regenerate, re-create, or reproduce the Platform's clinical documentation templates, AI-generated outputs, or proprietary content outside of the Platform. This includes but is not limited to:

  • Copying generated documentation for use in a competing product.
  • Sharing generated content with non-authorized users for the purpose of replicating Platform functionality.
  • Using Platform outputs to train AI models or build derivative works.
  • Extracting clinical logic, decision trees, or protocol flows from the Platform.

7. Patient Data & Privacy

You are solely responsible for ensuring that any patient information entered into the Platform complies with all applicable privacy legislation, including PIPEDA and provincial health information acts (e.g., HIA in Alberta, PHIPA in Ontario). RPhNote does not store patient health information. All clinical data entered during a session is used only to generate the output document and is not retained.

You acknowledge that the Platform is a documentation tool and that you remain the custodian of all patient records generated.

8. AI-Generated Content Disclaimer

Certain features of the Platform use AI (artificial intelligence) to assist in generating clinical documentation. AI-generated content is provided as a draft aid only. You are professionally and legally responsible for reviewing, verifying, and approving all AI-generated content before use in clinical practice. RPhNote assumes no liability for clinical decisions based on AI-generated output.

9. Limitation of Liability

RPhNote is provided "AS IS" without warranties of any kind, express or implied. To the fullest extent permitted by law, RPhNote and its creator(s) shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including but not limited to clinical errors, data loss, or service interruptions.

10. Subscription & Cancellation

RPhNote offers monthly and annual subscription plans. All subscriptions are prepaid for the selected billing period. There are no refunds or prorated credits for early cancellation. Upon cancellation, your access continues until the end of your current billing period, after which it will not renew. Pricing is subject to change; any changes will take effect at your next renewal.

11. Account Suspension & Termination

The Platform administrator reserves the right to suspend or terminate your access at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Platform ceases immediately.

12. Modifications to Terms

RPhNote reserves the right to update or modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. Users will be notified of material changes.

13. Governing Law

This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes will be subject to the exclusive jurisdiction of the courts of Alberta.
